1. Introduction
Welcome to Zata. These Terms and Conditions (“Terms”) govern your use of Zata’s software, APIs, services, and any associated applications (collectively, the “Platform”). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you may not access or use our services.
These Terms apply to all users, clients, partners, and authorized resellers who interact with the Zata platform. Additional terms may apply for specific services or custom agreements, and will be communicated separately where applicable.
2. Definitions
- “Zata” refers to the service provider and operator of the Platform.
- “Platform” includes all software, APIs, documentation, interfaces, tools, and any related services provided by Zata.
- “User” means any individual or organization that accesses or uses the Platform.
- “Client” refers to businesses or resellers using Zata for tax compliance, inventory reporting, or API integrations.
- “You” refers to the individual or entity agreeing to these Terms.
- “RRA” refers to the Rwanda Revenue Authority or any equivalent tax authority in another country.
3. Description of Service
Zata provides a digital compliance platform that enables businesses to:
- Connect their ERP systems (e.g. QuickBooks, Odoo, Etc.) via API for real-time tax compliance.
- Automate inventory reporting and sales data submission to relevant tax authorities, including VSDC/EBM systems.
- Access value-added services such as onboarding support, analytics, and integrations with mobile money and payments systems.
Zata may work directly with clients or through partner resellers to deliver and support its services.
4. User Responsibilities
By using the Platform, you agree to:
- Provide accurate, complete, and lawful business and transaction data.
- Use the Platform only for lawful purposes and in accordance with these Terms.
- Maintain the confidentiality of login credentials and not share them with unauthorized users.
- Notify Zata immediately if you suspect unauthorized use of your account.
- Ensure that your use of the Platform complies with applicable laws, including local tax regulations.
5. Account Creation and Access
To access certain services on the Platform, you must create an account. You agree that all information provided during registration is accurate and kept up to date. Zata reserves the right to:
- Refuse or cancel registrations at its sole discretion.
- Limit access to certain features based on your subscription or usage tier.
- Suspend or terminate your access for misuse or violation of these Terms.
6. Payment Terms
Zata offers various pricing models, including:
- Subscription-based plans: Monthly or annual billing.
- Pay-per-use services: Based on transaction volume or API calls.
- Enterprise contracts: Custom agreements with negotiated terms.
All fees are payable in advance unless otherwise agreed in writing. Invoices are due immediately or as specified on the invoice. Failure to make timely payment may result in service interruption or account suspension.
All fees are exclusive of applicable taxes and bank charges, which are your responsibility unless stated otherwise.
7. Refund and Cancellation Policy
We strive to ensure your satisfaction with Zata. However, we understand that circumstances may arise where you may need to cancel your subscription or request a refund. The following terms apply:
7.1 Cancellations
- Monthly Subscriptions: You may cancel your subscription at any time. Cancellation will take effect at the end of the current billing cycle. No partial refunds will be issued for the remaining days of the cycle.
- Annual Subscriptions: You may cancel your subscription at any time. If cancellation is requested within the first 30 days of service, you may be eligible for a prorated refund.
- Enterprise Contracts: Refer to your individual contract for specific cancellation terms.
7.2 Refunds
- Refunds will only be issued under the following conditions:
- Annual subscriptions canceled within the first 30 days.
- Duplicate charges or billing errors reported within 14 days of the transaction.
- Services not rendered due to platform errors or system failure, as determined by Zata.
- Refunds will not be issued for:
- Used pay-per-use credits.
- Services already consumed (e.g. successful API submissions).
- Client-side data entry errors or non-compliance with tax regulations.
All refunds will be processed within 30 business days to the original payment method. To request a cancellation or refund, please contact us at info@hiq.africa with your account details and reason for the request.
8. Intellectual Property
All content, source code, trademarks, logos, designs, and intellectual property available through the Platform remain the sole property of Zata or its licensors. You may not copy, reproduce, distribute, modify, or create derivative works from any part of the Platform without written consent from Zata.
You are granted a limited, non-exclusive, non-transferable license to use the Platform solely for your business’s lawful internal purposes and in accordance with these Terms.
9. Data Privacy and Confidentiality
Zata is committed to protecting your personal and business data. All data submitted through the Platform is handled in accordance with our Privacy Policy.
Zata agrees to maintain the confidentiality of all proprietary information you submit, including business records, tax data, and inventory details. Your data will not be shared with third parties except:
- As required by law or tax authorities.
- As necessary for technical support or compliance.
- With your explicit consent.
Zata implements appropriate technical and organizational measures to safeguard your data.
10. Limitation of Liability
To the maximum extent permitted by law, Zata shall not be liable for:
- Any indirect, incidental, or consequential damages arising from your use of the Platform.
- Errors caused by incorrect or incomplete data provided by the client.
- Regulatory penalties due to non-compliance outside of Zata’s system scope or due to client misuse.
- Any loss of profits, data, or business interruption resulting from system downtime or third-party integrations.
Zata’s total liability for any claim shall not exceed the total fees paid by the client in the preceding 3 months.
11. Service Availability
We aim for 90% uptime of the Platform but do not guarantee uninterrupted service. Scheduled maintenance, emergency fixes, or unforeseen technical issues may result in temporary downtime.
You will be notified in advance of any planned outages. Zata shall not be held liable for any resulting disruptions beyond its reasonable control.
12. Termination
Zata may suspend or terminate your access to the Platform if:
- You breach any provision of these Terms.
- You engage in fraudulent, illegal, or abusive behavior.
- Required payments are overdue.
Upon termination:
- Access to the Platform will be revoked.
- Any outstanding balances will become immediately due.
- Your data may be deleted within 30 days unless retained for legal compliance.
13. Governing Law
These Terms shall be governed by the laws of the Republic of Rwanda. Any disputes arising out of or in connection with these Terms shall be resolved by the competent courts of Kigali, Rwanda.
If any part of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
14. Modifications to Terms
Zata reserves the right to modify or update these Terms at any time. We will notify you of material changes via email or platform notice. Continued use of the Platform after such changes indicates your acceptance of the updated Terms.
We recommend reviewing these Terms periodically.
